Cross-border Loan Financings
Our deep market experience and industry knowledge, established on excellent award-winning track record in large and complex secured and unsecured corporate, acquisition, project, real estate, REIT, share-backed, pre-IPO, syndicated and sovereign loan financing transactions across multiple sectors and jurisdictions in Asia, Europe and the Americas, with particular expertise in emerging and frontier markets.
Our clients include some of the largest financial institutions in Singapore and the region, including local and international banks, trading houses and funds, and corporations.
Securities and Derivatives
We advise on the full range of derivative and structured transactions, covering all asset classes, particularly corporate equity derivatives (collar financing, total return swaps, etc.), repos, securities lending transactions and finance hedging (e.g. loan hedging, securitisation swaps, covered bond hedging, convertibles / exchangeables hedging, etc.). In addition, we also cover derivatives advisory matters, including netting, collateral, defaults and close-outs, as well as OTC regulatory reforms (reporting, clearing and margining).
Recent Banking and Finance matters
- Advised a leading Australian bank in connection with a AUD 2.5 billion loan financing for a fourth telecoms provider in Singapore
- Advised a leading Swiss bank in connection with first and second lien credit agreements in connection with the USD 1.7 billion acquisition by a global private equity firm of a French technology firm which manufacturers smart card connectors with operations worldwide including Singapore
- Advised one of the world's largest pulp and paper producers on senior secured USD 1.1 billion term loan and revolving facilities with the Singapore branch of a Chinese bank as agent for 28 lenders, with security over assets in Singapore, Indonesia, Hong Kong, BVI, Bermuda, Macau and Seychelles and complex intercreditor arrangements
- Advising certain Singapore banks on non-netting opinions for the purposes of the Singapore margin rules in relation to, among others, PRC and Indonesian counterparties
- Advising an Asian bank on the update of its Equity and Index Product Supplement for its Structured Notes Programme
