We advise on the full range of derivative and structured transactions, covering all asset classes, particularly corporate equity derivatives (collar financing, total return swaps, etc.), repos, securities lending transactions and finance hedging (e.g. loan hedging, securitisation swaps, covered bond hedging, covertibles / exchangeables hedging, etc.). In addition, we also cover derivatives advisory matters, including netting, collateral, defaults and close-outs, as well as OTC regulatory reforms (reporting, clearing and margining). 
We are regularly appointed by the largest financial institutions in Singapore and the region, including local and international banks, trading houses and funds, and corporations.

Some representative matters include:

  • ​Acting as counsel to a multinational bank on the US$350m financing in relation to the acquisition by a petrochemical manufacturing company headquartered in China of a listed oil refining company in Malaysia.
  • Acting as counsel to multinational bank on the financing of a fourth telecoms player in Singapore.
  • Acting as counsel to a multinational bank and a syndicate of lenders in connection with the re-financing of a US$2.3 billion equivalent Islamic financing in respect of a global oil and gas service provider in Malaysia, with a 30 year MYR7bn multi-currency sukuk murabaha programme. This included highly complex intercreditor arrangements between the conventional facility, the Islamic facility and the new Sukuk programme. This deal won Debt Market Deal of the Year and Malaysia Deal of the Year at the ALB Malaysia Law Awards 2015.
  • Acting as counsel to a multinational corporation on the restructuring of its joint venture with BHP Billiton, Richard Bay Minerals, the world's largest producer of titanium minerals, iron, rutile and zircon based in South Africa, in connection with the empowerment rules of the South African Mining Industry Charter, under which 26% of the venture will be transferred to local communities, investors and employees.  This was a ground-breaking deal in South African legal history.
  • Acting as counsel to a global bank on a syndicated US$250m secured term loan facility for the largest real estate developer and mall operator in Vietnam, in connection with the development of a residential and commercial project near Hanoi. This deal, together with a US$200m private equity investment from leading private equity firm Warbug Pincus in a member of the borrower group, and a US$200m notes issue, was awarded FinanceAsia Achievement Awards – Best Vietnam Deal 2013.
  • Acting as counsel to two multinational banks and on a club S$68.9m term loan facility for a Singapore trustee-manager company of a retail trust which owns properties in Japan, in connection with the bridge financing of a property acquisition in Japan. This deal was innovative as it tied in with a proposed rights issue of the retail trust.
  • Advised a US private bank on the implementation of its margin documentation to exchange regulated variation margin and collect unregulated margin.
  • Acted for global bank in a total return swap over 6% of an Indian listed company in connection with a stake-build by a private equity fund.
  • Advising on the Singapore law aspects of LMEshield in relation to warehouses in Singapore.
  • Acting for a regional bank in a structured equity financing transaction over Indonesian listed shares.
